Important Notice
Please read the following terms and conditions (the "Agreement") carefully. They govern your use of the Nuapaw mobile application (the "Application") and related services (the "Services"). By installing, copying or using the Application you agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Application.
1. Grant of Licence
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use one copy of the Application on a device you own or control, solely for your personal, non-commercial use.
2. Restrictions
- Modify, translate, decompile, disassemble or reverse engineer any part of the Application;
- Remove or alter any proprietary notices in the Application;
- Rent, lease, lend, resell or otherwise transfer the Application or the licence;
- Use the Application for any activity that violates applicable law or regulation;
- Use the Application to transmit any harmful, threatening, abusive, harassing, defamatory, obscene or otherwise objectionable content;
- Interfere with or disrupt the integrity or performance of the Application or related servers or networks;
- Attempt to access the source code of, or extract any part of, the Application.
3. Intellectual Property
The Application and all copies thereof, including without limitation all text, graphics, logos, icons, images, audio clips, digital downloads, data compilations and software, are our property or that of our licensors and are protected by the copyright, trademark and other intellectual property laws of the People’s Republic of China and internationally.
4. User Content
The Application may allow you to submit, upload, publish or otherwise make available content ("User Content"). You retain all rights to your User Content, but by using the Application you grant us a worldwide, non-exclusive, royalty-free licence to use, copy, modify, adapt, publish, translate, distribute and display your User Content in order to operate, promote and improve our services.
5. Privacy Policy
Your use of the Application is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please read the Privacy Policy to learn how we collect, use and disclose your personal information.
6. Disclaimer of Warranties
The Application is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Application will be uninterrupted, timely, secure or error-free.
7. Limitation of Liability
In no event shall we be liable for any indirect, incidental, special, punitive or consequential damages arising out of or in connection with the use or inability to use the Application, including but not limited to loss of profits, loss of data, business interruption or other commercial damages, even if we have been advised of the possibility of such damages.
8. Amendments
We reserve the right to amend this Agreement at any time. Material changes will be posted in the Application or otherwise notified to you. Your continued use of the Application after any amendment constitutes your acceptance of the amended Agreement.
9. Termination
If you breach any term of this Agreement, we may immediately terminate your right to use the Application. Upon termination you must cease all use of the Application and destroy all copies of it.
10. Auto-Renewing Subscription (Membership)
Nuapaw membership is an auto-renewing subscription. The subscription period is one month; upon confirmation of purchase, payment is charged to your Apple ID account. Before the subscription expires it automatically renews for the same period and charges the renewal fee, until you cancel it under Subscriptions in the App Store. To turn off auto-renewal, act at least 24 hours before the end of the current subscription period.
11. Coin Top-Ups (Virtual Credits)
- Nuapaw coins are virtual credits within the app, purchased through in-app purchases (consumable products) and consumed by value-added features such as AI image generation; whether a top-up succeeds is determined by system confirmation and order records.
- Top-ups are completed through Apple in-app purchase; payment and refund rules follow Apple’s terms. Once sold, coins are non-refundable, non-withdrawable and non-transferable, except where required by law or where an Apple-initiated refund occurs.
- When an Apple refund occurs, we will deduct the corresponding granted coins from your balance.
- You can view your coin balance and history in the app under Coin Wallet; upon account deletion any remaining coins are forfeited without cash value.
12. Redemption Codes
- Redemption codes are issued by us through official channels to activate or extend membership services. Each code may be used once within its validity period; used, expired or voided codes are invalid.
- Redemption codes have no cash value and are non-transferable. Keep them safe — you bear any loss caused by leakage of a code.
13. Governing Law
This Agreement is governed by the laws of the People’s Republic of China, without regard to its conflict-of-law principles.
